These Agents can be trained on your specific data to engage with your customers, answer questions, generate leads, and provide 24/7 support. The Service enables you to build a single AI Agent that can be embedded on websites or shared via a unique link on platforms like LinkedIn, Instagram, email, and more.

2. User Accounts

Registration

To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into this agreement to create an account and use the Service.

Account Security

You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account. AssistantX is not liable for any loss or damage arising from your failure to comply with this security obligation.

3. User Data and Content ("Knowledge Base")

The power of your Agent comes from the data you provide. Our Service allows you to add data to your Agent's knowledge base in several ways, including:

• Uploading documents (.pdf, .txt, .doc, .docx).
• Pasting text directly into the platform.
• Adding a website link for data extraction.

Your Responsibilities

You are solely responsible for the data you upload, paste, or link to ("Your Content"). You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to use and to authorize us to use Your Content to provide the Service. You agree that Your Content will not violate any law or infringe upon the rights of any third party.

License to Us

By providing Your Content to the Service, you grant AssistantX a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process Your Content solely for the purpose of operating, providing, and improving the Service for you.

Data Privacy and AI Training

We are committed to protecting the privacy of Your Content. We will not use Your Content to train our general AI models or any third-party AI models. Your data is used exclusively to power your specific Agent(s).

4. Subscriptions and Payments

Plans

AssistantX offers a free plan and various paid subscription plans ("Paid Plans"). Features, such as the number of Agents, message credits, and storage capacity, depend on the plan you select.

Billing

For Paid Plans, you will be billed in advance on a recurring and periodic basis (such as monthly). Subscriptions will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings before the end of the current cycle.

Payment Information

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.

Price Changes

We reserve the right to change the prices for our Paid Plans at any time. We will provide you with reasonable prior notice of any price changes to give you an opportunity to terminate your subscription before such change becomes effective.

Cancellations

You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing period, and you will not be charged for the next billing cycle. Subscriptions are non-refundable.

5. Acceptable Use Policy

You agree not to misuse the Service or help anyone else to do so. You agree not to, and not to attempt to, do the following:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Generate or disseminate content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable.
• Probe, scan, or test the vulnerability of any system or network.
• Breach or otherwise circumvent any security or authentication measures.
• Reverse-engineer or decompile the Service, or attempt to derive the source code of the software used to provide the Service.
• Upload or transmit any material that contains viruses, Trojan horses, worms, or any other malicious or harmful programs.

6. Intellectual Property Rights

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of AssistantX and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain all ownership rights to Your Content.

7. Termination

By You

You can stop using our Service and terminate these Terms at any time by canceling your account.

By Us

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including, but not limited to, a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ASSISTANTX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

AI Output

YOU ACKNOWLEDGE THAT THE RESPONSES GENERATED BY YOUR AI AGENT ARE BASED ON THE DATA YOU PROVIDE AND THE CAPABILITIES OF THE UNDERLYING AI MODELS. AI CAN MAKE MISTAKES, AND OUTPUTS MAY CONTAIN INACCURACIES. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING THE ACCURACY OF ANY INFORMATION PROVIDED BY YOUR AGENT BEFORE RELYING ON IT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ASSISTANTX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts located in Cape Town, South Africa.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
